Terms of Service

Article 1: Introduction and Acceptance
Welcome to CloZett (the “Service”), operated by Indigo Wolf LLC, a Delaware limited liability company (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms of Service. If you do not agree, you must not use the Service.
Article 2: Eligibility
The Service is for users who are at least 13 years old. By using the Service, you represent that you meet the minimum age requirement applicable to you. We may suspend or terminate accounts that do not meet eligibility requirements.
Article 3: Account Responsibilities
You are responsible for safeguarding your account credentials and for activity under your account. You must provide accurate information where required, keep payment and contact information current, and notify support@clozett.app promptly of suspected unauthorized use.
Article 4: Saved Content, Sharing, and Public Exposure
CloZett stores links, organizational data, notes, and related metadata. It does not grant you ownership of third-party pages or content linked through the Service. You retain rights in content that you create and remain responsible for the links, descriptions, notes, and collections you save, share, publish, embed, or sell access to.
Private saving and public exposure are different. A collection remains private unless you choose an eligible sharing, public, embed, or Paid Access setting. Public, paid, ranking, discovery, advertising, and embed surfaces may apply additional age, region, category, plan, safety, and legal restrictions.
Article 5: Prohibited Conduct and Content
You must not use CloZett to store, distribute, publish, sell, or facilitate content or activity that is unlawful, fraudulent, abusive, exploitative, infringing, malicious, deceptive, or prohibited by applicable law or our safety rules. Prohibited activity includes malware, phishing, unauthorized access, evasion of sanctions or access restrictions, and commercial use of content you do not have the right to sell.
Sensitive or age-restricted material may be limited or prohibited on public, paid, discovery, advertising, ranking, or embed surfaces even where private organization is otherwise permitted. We may restrict visibility, monetization, access, or accounts when reasonably necessary for safety, law, payment risk, platform integrity, or policy enforcement.
Article 6: Plans, Renewals, and Upgrades
Paid subscriptions renew automatically until canceled or scheduled to end. An upgrade takes effect immediately. The upgrade date becomes the new monthly billing date, the new plan is charged for one month, and the unused portion of the previous plan is applied as a prorated credit where supported by the billing system. CloZett does not intentionally charge twice for the same service period.
Before confirming an upgrade, the Billing interface may show the amount due, applicable credit, and next billing date. Taxes, currency conversion, payment processor timing, and legally required charges may affect the final amount.
Article 7: Downgrades, Frozen Content, and Deletion
A downgrade may be requested at any time and normally takes effect at the end of the current billing period. You retain the current plan until that date. No partial-period refund is provided merely because a downgrade was requested before the period ended.
If your account exceeds the new plan limits, CloZett does not need to reject the downgrade or stop the entire account. Content within the new limits remains active, while excess content may move to a Frozen Set for 30 days. Frozen content cannot be viewed, opened, searched, shared, published, embedded, sold, copied, or accessed through APIs, the extension, or Side Panel. During the retention period, you may delete it, exchange it with active content, restore it into available capacity, export it, or upgrade again.
Frozen content remaining after the retention period may be permanently deleted. Deletion may begin at the end of the 30-day period and complete within the following 24 hours. Once deletion begins, restoration is not guaranteed.
Article 8: Payment Failure and Resubscription
If a renewal payment fails, CloZett may notify you, provide a payment-method update link, and schedule one retry seven days later. If the final retry fails, the paid subscription may end and the account may move to Free within 24 hours. Content above Free limits may move to the Frozen Set.
A later successful subscription starts on the successful payment date, which becomes the new billing date. CloZett does not charge retroactively for the unpaid inactive period. Eligible Frozen content may be restored up to the limits of the selected plan after payment is confirmed.
Article 9: Paid Access, Sellers, and Buyers
Eligible users may offer Paid Access to qualifying Shelves or Drawers. The value must come from lawful curation, selection, structure, explanation, context, or maintenance—not from selling ownership of raw URLs or third-party content. Sellers are responsible for their descriptions, pricing, rights, tax obligations, and compliance.
Payments and seller transfers are processed through Stripe and may depend on successful payment, account eligibility, identity or compliance review, refund or dispute risk, and processor availability. Revenue Summary is an operational view and is not an accounting, tax, or guaranteed payout statement.
Refunds, reversals, chargebacks, fraud findings, policy enforcement, seller account status, or deletion may affect a buyer’s access and a seller’s transfer. CloZett may revoke or suspend access when the related payment is reversed or invalid. Transaction-specific issues may require support review.
Article 10: Refunds and Withdrawal Rights
Subscription fees are generally non-refundable for partial billing periods except where required by applicable law. Paid Access purchases may be handled separately based on payment status, access delivered, refund or dispute rules, and applicable consumer law.
Users who have a mandatory statutory withdrawal or refund right retain that right. Where the law permits, requesting immediate delivery of digital access may affect or end a withdrawal right after performance begins.
Article 11: Account Deletion and Restoration
A self-service deletion request places the account into Soft Delete immediately. Normal use stops, and the account is excluded from public pages, search, sharing, sales, embeds, APIs, browser-extension access, Side Panel access, and background processing. An active paid subscription is scheduled to end at the end of its current billing period, and unused days are not refunded solely because the account was deleted.
Account data is normally retained for a 30-day restoration period. During that period, you may be able to restore the account after reauthentication. If the paid period is still active, the previous plan may resume without a new charge; otherwise the account resumes on Free unless you subscribe again. After permanent deletion begins, restoration is not guaranteed.
Article 12: Export, Records, and Service Safeguards
Full-account exports may be rate-limited, generated asynchronously, and delivered through time-limited links. CloZett may retain limited billing, consent, fraud-prevention, security, dispute, tax, and legal records even after content deletion when reasonably necessary or required.
Unlimited plans remain subject to fair use and temporary safeguards required to protect service stability, security, other users, and infrastructure.
Article 13: Intellectual Property and Service License
The CloZett platform, including its code, design, branding, and trademarks, is owned by Indigo Wolf LLC or its licensors. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Service. You may not copy, reverse engineer, resell, or misuse the Service except where applicable law does not permit such a restriction.
Article 14: Service Availability and Liability
CloZett is provided “as is” and “as available.” We do not guarantee uninterrupted availability, permanent preservation of third-party links, earnings, discovery, rankings, or compatibility with every browser or external service. To the maximum extent permitted by law, Indigo Wolf LLC is not liable for indirect, incidental, special, consequential, or punitive damages resulting from use of or inability to use the Service.
Article 15: Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Where legally enforceable, disputes will be resolved through binding arbitration administered by the American Arbitration Association in Delaware, and class or representative proceedings are waived. Mandatory consumer rights and forums that cannot legally be waived remain unaffected.
Article 16: Changes to Terms
We may modify these Terms. Material changes may be communicated by email, in-product notice, or another reasonable method. Continued use after the effective date constitutes acceptance where permitted by law.
